Terms of Service

These Terms govern your use of Vridesk. By signing up or using the platform in any way, you agree to be bound by them. Please read carefully.
1. Agreement to Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Vridesk (operated by Vriyox) governing your access to and use of the Vridesk platform (the "Service"). By creating an account, accepting these Terms during signup, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms.
If you are using Vridesk on behalf of a company or other organisation, you represent that you have authority to bind that entity to these Terms, and references to "you" include both you personally and that entity.
1.1 Who These Terms Apply To
These Terms apply to all users of the Service - including owners who create and own workspaces, all team members who are added to a workspace, and clients who are given access to a workspace's client portal. Owners are responsible for ensuring that every team member who accesses their workspace complies with these Terms.
1.2 Minimum Age Requirement
You must be at least 18 years old to create an account and use the Service. By using Vridesk, you represent and warrant that you meet this requirement.
1.3 If You Do Not Agree
If you do not agree to these Terms in full, you may not access or use the Service. Continued use of the platform after any revision to these Terms constitutes your acceptance of the updated Terms. If you have questions, contact us before proceeding.
2. Your Account
2.1 Account Creation and the Owner Role
When you sign up for Vridesk, a new workspace ("tenant") is created and you become its owner. As the owner, you are the highest-authority user within your workspace. You may add team members, connect a mailbox, give clients portal access, and manage billing settings.
2.2 Team Members and Role Hierarchy
A workspace has one owner and the team members the owner adds. A team member can use the whole CRM of that workspace unless the owner gives them a role that limits it.
Only the owner can add, suspend or remove team members, connect or change the workspace mailbox, and manage the plan.
2.3 Account Security
You are responsible for keeping your login credentials confidential. You must not share your password or allow another person to use your account. If you suspect unauthorised access, notify us immediately at vridesk@vriyox.com.
Vridesk provides session management - you can view all active sessions and revoke any of them from your account settings. We strongly recommend reviewing active sessions regularly.
2.4 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. Accounts created with false or misleading information may be suspended or terminated.
3. Free Trial
Every new Vridesk workspace begins with a 7-day free trial. No payment information is required to start, and you will not be charged automatically when the trial ends. View available plans on our Pricing page.
3.1 Trial Duration and Scope
The free trial gives you full access to all features of your selected plan for 7 calendar days from the moment your workspace is created. This includes leads, follow-ups, campaigns, the inbox, automations, clients, projects, invoices, reports, the client portal, and team management.
3.2 No Automatic Billing
We do not collect payment details during the trial and will never charge you automatically at the end of the trial period. If you wish to continue using Vridesk after your trial, you must actively select a paid plan from your subscription settings.
3.3 After the Trial Ends
If you do not subscribe before the trial expires, your workspace will enter read-only mode. Your data is retained for 30 days, after which it may be permanently deleted. You will receive reminder emails before expiry so you can take action.
4. Subscriptions and Billing
Access to paid features is provided through a subscription. All prices are listed in INR and are exclusive of applicable taxes unless stated otherwise. See our Pricing page for current plans and rates.
4.1 Plan Selection
Vridesk offers multiple subscription tiers with different seat limits and feature sets. We reserve the right to change plan features or pricing at any time, subject to the notice requirements in these Terms.
4.2 Billing Cycle
Monthly plans are billed every 30 days. Annual plans are billed once per year at the time of activation. Subscriptions renew automatically unless cancelled before the renewal date.
4.3 Upgrades and Downgrades
You may upgrade your plan at any time; the price difference is prorated for the remaining period and charged immediately. Downgrading takes effect at the start of the next billing period. No credit is issued for unused capacity on a downgraded plan.
4.4 Price Changes
We will notify active subscribers at least 30 days in advance of any price increase. Price changes take effect at the next renewal after the notice period. If you do not agree, you may cancel before the renewal date.
4.5 Failed Payments
If a payment fails, we will attempt to collect the outstanding amount and notify you by email. Persistent payment failures may result in your workspace being downgraded to read-only mode until the balance is resolved. Our Refund Policy explains what happens to prepaid amounts.
5. Acceptable Use
Vridesk is designed for legitimate business management. You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others.
5.1 Prohibited Conduct
You must not:
- Attempt to access, copy, or interfere with data belonging to another tenant or user.
- Reverse engineer, decompile, or attempt to derive the source code of the Service.
- Use the Service to transmit spam, malware, or any harmful or deceptive content.
- Overload, disrupt, or attempt to circumvent any security feature or access control.
- Use the Service for any unlawful purpose, including fraud, money laundering, or export control violations.
- Resell, sublicense, or commercially redistribute access to the Service without prior written consent.
- Use bots or automated scripts to interact with the Service unless explicitly permitted.
5.2 Content Responsibility
You are solely responsible for all business data, records, and content that you and your team enter into Vridesk. You represent that you have the right to submit this content and that doing so does not violate any third-party rights.
5.3 Consequences of Violation
Violation of this Acceptable Use policy may result in immediate suspension or termination of your workspace without notice and without refund. We reserve the right to report unlawful conduct to appropriate authorities.
6. Data Ownership and License
6.1 Your Data is Yours
You retain full ownership of all business data, records, and content you submit to Vridesk. We do not claim any intellectual property rights over your data.
6.2 License You Grant Us
By submitting data to Vridesk, you grant us a limited, non-exclusive, worldwide, royalty-free licence to store, process, and use your data solely for the purpose of providing and improving the Service. This licence terminates when you delete the data or close your account.
6.3 Data Processing
We process your personal data in accordance with our Privacy Policy. For the purposes of applicable data protection law, you are the data controller and we act as the data processor with respect to personal data of your team members.
6.4 Data Export
You may export your data at any time while your subscription is active. We will not hold your data hostage if you choose to leave - exports are provided in standard formats where technically feasible.
7. Intellectual Property
7.1 Vridesk Property
All rights, title, and interest in the Service - including the software, interfaces, design, trademarks, logos, and documentation - remain the exclusive property of Vridesk (Vriyox). Nothing in these Terms grants you any right to use our trademarks or branding without prior written permission.
7.2 Feedback
If you submit suggestions, ideas, or feedback about the Service, you grant us an irrevocable, royalty-free, worldwide licence to use that feedback in any way we see fit, including incorporating it into the product, without any obligation of compensation to you.
7.3 Open Source Components
The Service may incorporate open-source software components, each used in accordance with its respective licence. Open-source licences do not grant you any additional rights to the proprietary portions of the Service.
8. Third-Party Services
Vridesk may integrate with or link to third-party services, including payment processors, email providers, and analytics tools. These integrations are provided for convenience.
8.1 No Endorsement
The inclusion of a link or integration does not imply that we endorse or take responsibility for any third-party service. Your use of third-party services is governed entirely by those services' own terms and privacy policies.
8.2 Payment Processors
Payment processing is handled by third-party providers. We do not store your full card or bank account details. Payment processor terms apply to all financial transactions.
8.3 Service Interruptions from Third Parties
We are not liable for interruptions or failures caused by third-party service providers outside our reasonable control.
9. Termination
9.1 Termination by You
You may cancel your subscription and close your workspace at any time from your Billing settings or by contacting us. Cancellation stops future billing but does not entitle you to a refund for the current period, except as described in our Refund Policy.
9.2 Termination by Vridesk
We reserve the right to suspend or terminate your access immediately and without prior notice if you breach these Terms, engage in fraudulent activity, or if required by law. We may also terminate inactive accounts with reasonable prior notice.
9.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Your workspace data is retained for 30 days, during which you may request an export. After 30 days, your data is permanently deleted and cannot be recovered.
10. Limitation of Liability
10.1 Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or entirely secure. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. See our Disclaimer for further detail.
10.2 Liability Cap
To the maximum extent permitted by law, our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.
10.3 Exclusion of Consequential Damages
In no event will Vridesk or Vriyox be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages - including loss of profits, data, goodwill, or business opportunities - arising from your use of or inability to use the Service, even if advised of the possibility of such damages.
11. Indemnification
You agree to defend, indemnify, and hold harmless Vridesk, Vriyox, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses - including reasonable legal fees - arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law provisions.
12.2 Dispute Resolution
We encourage you to contact us first if you have a concern - most issues can be resolved quickly through direct communication. For formal disputes, both parties agree to first attempt good-faith negotiation for a period of 30 days before initiating any legal proceedings.
12.3 Jurisdiction
If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the courts located in India. You consent to personal jurisdiction and venue in such courts.
13. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will provide at least 30 days' notice by email or by displaying a prominent notice within the Service before the changes take effect.
Continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you disagree with any revision, you may stop using the Service before the effective date.
